Deal Construction
NOZH assembles Indonesian development deals out of parts held by different sides: land, capital, permits, management. On some projects, every one of those parts is already sitting with someone, and the sides holding them already know about each other. This page is for any of you at that kind of table. What's missing here isn't a resource anyone still lacks. It's the construction between you.
What you have
A landowner or community with the land, a developer with the competence to build on it, an investor with the capital, and a bank with the loan or the collateral behind it — say these four have already found each other on one project, each one knowing what the others hold. The same situation runs just as well with a fund's mandate sitting in the investor's seat, a government body's permits and infrastructure at the table, or a management company waiting to run what gets built. Whichever combination you're part of, and whichever side of the table you sit on, you already hold your part of it.
What's blocking you
What none of you holds yet is the construction those parts fit into: who contributes what, who gets what, in what order, and under what protections. The project isn't stalled for lack of land, capital, or competence — every part on that list is already at the table. It's stalled because no one has settled how the parts fit together, and no one wants to commit first without seeing that answer.
What you get
NOZH produces that answer as a calculation: a financial model, scenarios, and a breakdown of the assumptions behind them, built on the specific project already in front of you. That calculation is the construction — it sets out who contributes what, who gets what, and in what order, worked out against real numbers rather than settled by discussion alone.
The calculation is built to be accurate, not to please everyone at the table. It can just as easily show that a proposed split doesn't work for one or more of you, and then the construction gets revised rather than defended. NOZH doesn't argue anyone into agreeing with a number; the number does the arguing.
The construction covers more than how the numbers split. It also covers protecting each side's entry into the deal: the legal structure behind it, the order in which commitments happen, and the protections each side keeps if something changes later.
NOZH is not a mediator, a guarantor of the deal, an escrow agent, or an arbitrator between the sides: it doesn't hold funds, doesn't rule on a dispute between you, and doesn't build relationships between the parties. Trust between the sides isn't promised here, and it isn't sold as a separate service. It follows from everyone looking at the same checkable calculation and finding in it their own return, and what's moving everyone else at the table.
Covering the cost of this calculation doesn't have to fall on one side of the table. All parties to the construction share the cost, in proportion to their stakes — which is why our calculation does not work for any one of them alone. That isn't assumed to already be settled by the time a project reaches this page; it's one more term the construction can include, not a claim about how every case here already works.
What we ask in return
Entry to this page sits at the core of the work: the sides and the project are already there, and the calculation on it is the first paid step. If the sides decide to carry the construction through to signing, the next stage is accompaniment through closing — a separate, later piece of work.
What we need from each of you is material on what you're contributing and what you expect to get from it: land documents from a landowner, the terms behind the capital from an investor or a fund, an operating track record from a management company, lending terms from a bank — whichever part is yours. The calculation works from what's actually handed over; it doesn't wait for one complete package, agreed by every side, before the work can start.
